Welcome to Yaay-Game&Party ("Yaay")! > You are entering into this User Services Agreement ("Agreement") with Yaay to govern your use of our services. Please read these terms and conditions carefully to ensure you understand your rights and obligations.

Note: Section headings are included for convenience only and do not affect the legal interpretation or meaning of the terms within this Agreement. By using our services, you agree to be bound by these terms.

Please review this Agreement carefully before completing your registration. > Pay close attention to sections regarding limitations of liability, governing law, and dispute resolution. Key terms that limit our liability are bolded for your emphasis.

By completing the registration process or clicking "Agree," you acknowledge that you have read, understood, and accepted the terms of this Agreement in their entirety, forming a binding contract with Yaay. If you do not agree to these terms, please discontinue the registration process immediately.

Note to existing or non-registered users: By accessing or continuing to use the Yaay Platform, you are deemed to have accepted this Agreement in full. If you do not agree, please stop using the Platform immediately.

Article 1 [Definitions]

"Yaay Platform" refers to the Yaay-Game&Party website, mobile applications, and all associated software or services provided by Yaay.

Yaay Platform Services: Refers to all online services provided by Yaay through various mediums, including those currently available or developed in the future. This encompasses the Yaay website, mobile applications, and software. In the event you access services provided by a Yaay affiliate that does not maintain its own independent User Agreement or Privacy Policy, this Agreement shall govern your use of those services as well.

"Service Provider" means Hong Kong Said Technology Co., Limited, together with its affiliated entities (collectively referred to as "Yaay," "we," "us," or "our").

Yaay Platform Rules: Refers to all current and future policies, community guidelines, announcements, and operating procedures published by Yaay. This includes, without limitation, product descriptions, activity-specific rules, and official notices posted on the Yaay website, within the app, or on official social channels. All such Rules are hereby incorporated into this Agreement by reference.

User (also referred to as "You"): Refers to any individual or legal entity that accesses, browses, registers for, or otherwise utilizes the Yaay Platform Services.

Article 2 [Scope of the Agreement]

2.1 Contracting Parties

This Agreement constitutes a legally binding contract between you and the Yaay Platform operator regarding your registration, login, and use of the Yaay Platform Services. The provisions of this Agreement are legally enforceable and binding upon both you and the Yaay Platform operator.

The "Yaay Platform Operator" refers to the legal entities responsible for operating the platform. Due to business adjustments, the specific entity operating the platform may change from time to time. Any successor operator will continue to uphold this Agreement and provide services to you without affecting your existing rights.

By using any new or additional Yaay Services, you agree to the participation of the relevant new operator in this Agreement. In the event of a dispute, the responsible party shall be determined based on the specific service used or the specific entity involved in the action affecting your rights.

2.2 Supplemental Agreements and Policies

Given the evolving nature of internet services, this Agreement may not capture every right or obligation that may arise in the future. Consequently, all official statements, privacy policies, community rules, and service-specific agreements published on the Yaay Platform are considered supplemental to this Agreement. These materials form an integral part of your contract with Yaay and hold the same legal authority. By accessing or using Yaay Services, you acknowledge and agree to be bound by these supplemental terms.

Article 3 [Account Registration and Use]

3.1 User Eligibility By initiating the registration process or using Yaay Platform Services, you represent and warrant that you possess the legal capacity required by the laws of Hong Kong to enter into this Agreement. If you lack such capacity, you and your legal guardian shall be held solely responsible for all legal consequences arising from your actions on the Platform.

Minors: Users under the age of 18 must review this Agreement in the presence of a parent or legal guardian. You must obtain your guardian's express consent to this Agreement--including provisions regarding paid services--before accessing the Yaay Platform.

3.2 Account Creation and Usage

Account Formation: Upon completing the registration process and agreeing to this Agreement, you will be granted a Yaay Platform account ("Account"). Your Account consists of a username ("Account Name") and a password created or confirmed by you.

Personal Use & Security: Your Account is for your personal use only. You are prohibited from authorizing any third party to use your Account without Yaay's express written consent. Yaay shall not be liable for any loss or damage arising from unauthorized access or use of your Account. If Yaay detects a security risk to your Account or the Platform, we reserve the right to suspend services or terminate this Agreement.

Account Transfers: Because Accounts are linked to user credibility and personal data, they are generally non-transferable. Transfers are only permitted where required by law, a judicial ruling, or with Yaay's explicit consent and must follow our official transfer procedures. Any unauthorized transfer will result in you being held liable for all associated consequences.

Inactivity and Purging: If your Account remains inactive for an extended period, Yaay reserves the right to reclaim the Account name or permanently delete the Account and all associated data (including registration info, virtual gifts, and records). We will notify you via pop-ups, platform announcements, or push notifications before any such cleanup occurs.

3.3 Account Information Management

3.3.1 Accuracy and Compliance

You represent and warrant that all information provided during registration (including but not limited to identity verification and contact details) is accurate, current, and complete. You are obligated to maintain the truthfulness and validity of this information.

Furthermore, your chosen Account Name must comply with all applicable laws and Yaay Platform Rules. Yaay reserves the right to suspend or revoke any Account Name that violates these standards and, where necessary, report such violations to the relevant authorities.

Third-Party Service Providers: To provide specific technical functionalities (such as real-time communication), Yaay utilizes third-party services, including RongCloud and Agora. You acknowledge that these third parties may access necessary personal information solely to perform their technical duties. Yaay ensures that these providers utilize industry-leading security technologies to protect your data.

3.3.2 Information Maintenance and Updates

Duty to Update: You must promptly update your registration data to ensure it remains current, detailed, and accurate. You acknowledge that Yaay may, from time to time and as required by law, verify your information. You agree to cooperate fully and provide the most recent and complete data upon request.

Data Loss Risk: Please be aware that modifying or deleting information may result in the loss of associated content (such as text, images, or videos) stored in the system. Yaay is not responsible for any data loss resulting from your own actions.

Failure to Comply: If your provided information is found to be inaccurate, invalid, or out of date--or if Yaay is unable to reach you using your last known contact details--you shall bear all resulting liability and consequences. In such cases, Yaay reserves the right to issue a notice of inquiry or a request for rectification. Failure to comply may lead to a required re-authentication or the suspension or termination of your access to Yaay Platform Services, for which Yaay shall not be held liable.

3.3.3 Account Security and Responsibility

Security Best Practices: You are solely responsible for maintaining the confidentiality of your Account and password. Yaay will never ask for your password. You are advised to safeguard your login credentials and ensure you properly log out at the end of each session.

Suspension Requests: If you suspect your Account has been compromised, you may request that Yaay suspend your Account. To process this, you must provide valid identification that matches your registration data. Yaay reserves the right to reject suspension requests if identity verification is unsuccessful.

Liability for Account Activity: You are responsible for all actions taken under your Account--including entering into agreements, posting content, or making purchases--unless such actions result directly from Yaay锟斤拷s gross negligence. Unauthorized use of your Account will be deemed your own act unless you have promptly notified Yaay of the breach.

Limitation of Liability: Yaay is not liable for losses resulting from your voluntary disclosure of account details, or from phishing, hacking, or fraudulent attacks by third parties. In such events, you should seek remedies directly from the responsible third party. Please note that while Yaay will act on security reports within a reasonable timeframe, we cannot guarantee that our actions will prevent all potential damages.

Article 4 [Yaay Platform Services and Standards]

4.1 Scope of Services Yaay provides a suite of digital services including, but not limited to:

4.1.1 Official Websites: Any website owned or operated by Yaay.

4.1.2 Multi-Terminal Clients: Applications and software for PCs, tablets, mobile phones, and other devices.

4.1.3 User Account Services: Personal profiles, account management, and user center functions.

4.1.4 Chat Room Services: Voice and text-based interactive chat rooms.

4.1.5 Messaging Services: Private messaging, group chats, and social networking features.

4.1.6 Virtual Gifting: Features for sending virtual gifts and "Lucky Envelopes" (Red Packets).

4.1.7 Supplementary Technologies: Any other existing or future technologies or services provided by the Platform.

Service Integrity and Restrictions Yaay Services are strictly intended for use within the official Yaay Platform. Any attempt to decouple, modify, or extract Yaay Services through illegal means--including but not limited to malicious cracking or unauthorized reverse engineering--is strictly prohibited and falls outside the scope of this Agreement. The perpetrator shall be solely liable for all resulting legal consequences, and Yaay reserves the right to pursue criminal or civil action to the fullest extent of the law.

Exclusive Channels: The official methods for registration, login, downloading, and using Yaay Services are those officially announced on the Yaay website. Any accounts, virtual items, or software obtained through unauthorized channels are considered illegal and invalid. Yaay reserves the right to delete, freeze, reset, or block any such accounts or items without notice. You shall bear all consequences of using unauthorized channels, and Yaay reserves the right to pursue legal action against offending individuals or organizations.

Software Modifications and Upgrades: Yaay may modify, replace, or upgrade platform-related software at its discretion. We will notify you of such changes through pop-ups, site announcements, or in-app messages. If you do not agree to an update, you must immediately cease using the Yaay Services. By continuing to use the platform, you are deemed to have accepted the modification or upgrade, and your use will remain subject to the terms of this Agreement.

Ownership of Virtual Assets: You acknowledge that all virtual goods--including gifts, props, VIP status, and "points"--are owned exclusively by Yaay. You are granted a limited, non-transferable license to use these items solely within the Platform. These goods have no cash value and are strictly prohibited from being sold, traded, or exchanged for legal tender (cash).

Tokens and Value-Added Services: Yaay may offer value-added services and digital tokens ("Tokens") for purchase. Tokens are acquired by exchanging legal currency; once legal currency is converted into Tokens, the transaction is considered complete and the currency fully consumed. Tokens are non-refundable and cannot be exchanged back into legal tender.

Rewards : Yaay may reward users with gifts or "points" based on platform activities. Points are intended for use and consumption exclusively within the Yaay Platform and  have no real-world monetary value.

Usage Period of Virtual Goods: Unless a specific expiration date is explicitly stated, the right to use virtual goods remains valid until the termination of the corresponding Yaay Platform Services. If a usage period is specified, that period shall be strictly enforced and will not be interrupted or suspended for any reason. Upon the expiration of the specified period, Yaay reserves the right to withdraw the item or cease the service without further notice, regardless of whether the User has actually utilized the virtual item or accessed the service.

Rights to Platform Data and Derivatives :You acknowledge and agree that Yaay holds all rights, titles, and interests in the data and information generated during platform operations and stored in Yaay锟斤拷s databases. This includes, but is not limited to, account data, experience points (EXP), user levels, subscriptions, titles, virtual gifts, virtual live rooms, consumption records, and any associated derivatives (collectively, "Derivatives").

Unless otherwise explicitly stated by Yaay, you do not possess any ownership rights over these Derivatives. Yaay grants you a limited, revocable right to use these Derivatives strictly in accordance with Platform Rules. You further agree that Yaay may, at its sole discretion and without prior notice or consent, reclaim, modify, or withdraw these Derivatives. The exercise of such rights by Yaay shall not constitute a breach of contract, and you hereby waive any claims and exempt Yaay from all associated legal liabilities.

Prohibited Transactions and Financial Risks: You represent and warrant that you will not use Yaay Platform Services or Derivatives for any unauthorized commercial purposes, including selling, reselling, exchanging, pledging, or trading for illicit profit. You are strictly prohibited from misappropriating or stealing accounts, virtual gifts, or assets through network vulnerabilities, malware, or any other illegal means.

Non-Refundable Policy: You acknowledge that withdrawing or cashing out value-added tokens or "points" is strictly prohibited. Any recharge or purchase of virtual goods through non-official channels is forbidden. Upon discovery of such activity, Yaay reserves the right to ban your account and forfeit all balances, virtual gifts, and value-added services without refund.

Third-Party Payment Risks: If you utilize third-party payment tools to purchase fee-based services, you assume all associated commercial risks. This includes, but is not limited to, risks arising from the illegal use of your account or bank cards by third parties. Provided that Yaay fulfills its obligations under this Agreement and complies with applicable laws, Yaay shall not be liable for any losses or damages resulting from these third-party risks.

Yaay does not recognize any private or unauthorized agreements entered into between Users. Yaay assumes no responsibility or obligation to intervene in, or mediate, any disputes arising from such illegal or unauthorized arrangements. Should any such conduct violate this Agreement or the Platform Rules, Yaay reserves the right to impose disciplinary penalties on all involved parties.

4.2 Service Specifications

4.2.1 Account Ownership and Security

Ownership: The ownership of all Yaay accounts remains with Yaay. You are granted a limited right to use the account as the initial registrant. This right is non-transferable.

Authentication: Due to the nature of digital services, Yaay verifies access solely via account-password matching. You are responsible for all activities occurring under your credentials.

Unauthorized Use: If Yaay determines a user is not the initial registrant, Yaay reserves the right to freeze or reclaim the account without notice or liability. You shall bear all resulting losses, including data deletion and forfeiture of virtual assets.

Dispute Handling: In the event of a dispute over account ownership or funds, Yaay may temporarily freeze the account. Both parties must provide proof of ownership within a reasonable time, after which Yaay will make a final determination based on the evidence provided.

4.2.2 Content Licensing and Intellectual Property

User Ownership: You represent that you own the copyright to any content you upload or transmit (the "Performance Output").

Global License: By posting content, you grant Yaay a worldwide, irrevocable, perpetual, royalty-free, and sublicensable license to use, display, modify, and distribute your Performance Output and all derivative rights thereof.

Commercial Rights: Yaay may utilize your Performance Output for any purpose and retain all associated revenue. You may not authorize third parties to use this content for commercial gain without Yaay锟斤拷s prior written consent.

4.2.3 Data Sharing and Affiliates To optimize your experience, you authorize Yaay to share your registration and usage data with Yaay锟斤拷s affiliated companies and related service providers.

4.2.4 Virtual Products and Fee-Based Services

Usage Rules: Virtual products (props, gifts, etc.) must be obtained through authorized Yaay channels. Use methods and expiration periods are governed by specific page descriptions or official announcements.

Final Sale: Based on the nature of digital goods, all sales are final. Yaay does not offer returns or exchanges.

Service Evolution: Yaay may adjust virtual product types and features based on platform strategy or user demand.

4.2.5 Financial Order and Platform Integrity

Prohibited Trading: You must not disrupt Yaay锟斤拷s financial order. Selling, mortgaging, or trading virtual properties for "real-world" profit is strictly prohibited without written authorization.

Fraud Prevention: Yaay reserves the right to suspend accounts suspected of using "unreasonable means" for recharges (e.g., credit card fraud or unauthorized cash-outs).

Official Channels: Assets obtained via unofficial channels are invalid. Yaay may unilaterally withdraw these assets and, in serious cases, terminate the user's account and report the activity to authorities.

4.2.6 Content Disclaimer and Risk

No Endorsement: Yaay does not endorse or guarantee the accuracy, safety, or appropriateness of user-uploaded content. You use such information at your own risk.

Exposure to Harm: You acknowledge that you may encounter offensive or inappropriate content. You may report such content to our customer service; Yaay will take necessary action but shall not be held liable for your exposure.

Safety: You are solely responsible for your personal and property safety during live streaming. Yaay is not liable for damages caused by your own actions, third-party interference, or force majeure.

4.2.7 Advertising and Commercial Information

Ad Placement: You agree that Yaay may place commercial advertisements throughout the platform, including within your uploaded content or via messages/emails.

Branding: Yaay reserves the right to overlay watermarks, logos, or timestamps on live streams to protect the platform's brand integrity.

4.2.8 Legal Compliance and Tariffs

Governing Law: All behavior must comply with the laws of Hong Kong. Yaay may terminate services immediately and without notice if it reasonably believes a user has violated applicable laws.

Pricing Authority: By using the platform, you accept Yaay锟斤拷s right to determine and adjust charging methods and tariffs at its sole discretion based on business needs.

4.3 Content Prohibitions and User Warranties

You represent and warrant that any content you create, upload, post, or transmit via the Yaay Platform--including but not limited to account names, profile descriptions, comments, and live stream content--shall not contain any material that:

1.Constitutional & Legal Violations: Opposes the fundamental principles of the Constitution or violates the laws and regulations of the relevant jurisdiction.

2.National Security: Endangers national unity, sovereignty, or territorial integrity; incites the subversion of state power; or leaks state secrets.

3.Public Interest: Damages national security, honor, or interests.

4.Social Harmony: Incites ethnic hatred or discrimination, undermines ethnic unity, or infringes upon ethnic customs and traditions.

5.Religious Policy: Undermines state religious policies or promotes cults and feudal superstitions.

6.Social Stability: Spreads rumors, disturbs social order, or undermines social stability.

7.Violence & Morality: Promotes or depicts obscenity, pornography, gambling, excessive violence, murder, or terrorism, or otherwise abets criminal activity.

8.Protection of Minors: Induces minors to violate the law or depicts content harmful to the physical and mental health of minors.

9.Rights Infringement: Insults or slanders others, or infringes upon the privacy, intellectual property, or other legitimate rights of third parties.

10.Cultural Heritage: Harms social morality or diminishes valued national cultural traditions.

11.Omnibus Clause: Contains any other content prohibited by applicable laws, administrative regulations, and state provisions.

Indemnification for Content Violations If you transmit content that violates the above provisions or infringes upon the rights of a third party, you shall be solely liable for all resulting legal consequences. Should your actions cause any damage to Yaay, you agree to:

·Take immediate action to eliminate the adverse effects on Yaay锟斤拷s reputation;

·Compensate Yaay for all losses, including but not limited to property damage, loss of reputation, and legal costs (e.g., attorney锟斤拷s fees, court costs, and investigation expenses incurred in defending Yaay锟斤拷s rights).

4.4 Prohibited Conduct

You represent and warrant that you will not engage in, nor allow any third party to use your account to engage in, the following prohibited behaviors:

1.Impersonation & Deception: Impersonating any person or organization; falsely claiming an affiliation with an entity; using deceptive account names; or accessing another user锟斤拷s account in bad faith to mislead others.

2.Manipulation of Origin: Forging headers or manipulating identifiers to disguise the origin of content or falsely imply that such content is transmitted by Yaay.

3.Rights Infringement: Transmitting content that you do not have the legal right to share (e.g., trade secrets, confidential internal information, or material that infringes on patents, trademarks, or copyrights).

4.Spam & Unauthorized Marketing: Sending unsolicited "spam," promotional materials, or any other unauthorized commercial communications.

5.Commercial Exploitation: Using Yaay Services for any unauthorized commercial purposes or for the benefit of third parties without Yaay锟斤拷s express written consent.

6.Harassment: Stalking, harassing, or threatening other users.

7.Illegal Activities: Engaging in criminal acts or transactions, including but not limited to drug trafficking, money laundering, fraud, or teaching criminal methods.

8.Gambling: Participating in or facilitating gambling, disguised gambling, or inducing others to gamble through the platform.

9.IP Misuse: Unauthorized use of Yaay锟斤拷s intellectual property (logos, trademarks, or proprietary layouts) or attempting to reverse engineer Yaay锟斤拷s software.

10.Automated Access: Using bots, crawlers, scrapers, data mining tools, or any automated software to access the platform or collect user data.

11.Mimicry: Using "framing," "mirroring," or similar techniques to mimic the appearance or functionality of Yaay Services.

12.Interference: Disrupting or attempting to disrupt the access of any user, host, or network.

13.Malicious Code: Disseminating viruses, worms, Trojan horses, or any code designed to destroy or limit the functionality of hardware or software.

14.Privacy Violations: Publishing the personally identifiable information (PII) of others without their express consent.

15.Security Testing: Probing or testing the vulnerability of Yaay锟斤拷s systems or circumventing any security and authentication measures.

16.Reverse Engineering: Decompiling, disassembling, or reverse engineering any software used by Yaay.

17.Abusive Account Creation: Registering multiple accounts for destructive purposes or uploading bulk invalid data maliciously.

18.Unfair Advantage & Cheating: Undermining platform fairness through "score-scraping," collaborative cheating, using plug-ins/cheating software, or exploiting "bugs" and "loopholes" for improper gain.

19.Unauthorized Selling: Engaging in the unauthorized sale of goods, virtual products, or plug-ins related to the Yaay Platform.

20.Legal Compliance: Violating any applicable Hong Kong laws, regulations, or ordinances, whether intentionally or unintentionally.

4.5 Consequences of Breach

If you violate any provision of this Agreement or Platform Rules, Yaay reserves the right to impose one or more of the following penalties at its sole discretion, based on the severity of the violation:

1. Warning: A formal notice issued for educational purposes and minor infractions.

2. Communication Ban (Muting):** Temporarily or permanently suspending your ability to use chat channels or communicate with other users.

3. Temporary Freeze: Restricting specific account privileges or platform operations for a designated period.

4. Permanent Freeze: Indefinite restriction of specific account privileges or platform operations.

5. Temporary Login Suspension:Disabling your ability to log into one or more Yaay platforms for a specified duration.

6. Permanent Login Ban:Permanently prohibiting your account from accessing any Yaay Platform services.

7. Forced Termination (Forced Offline): Immediately disconnecting your current session and terminating active services.

8. Account Deactivation: Suspending or permanently revoking your right to log into Yaay services.

9. Dissolution of Groups: Mandatorily dissolving user-created organizations, including but not limited to guilds, clubs, or social groups.

10. Mandatory Renaming: Forcing the modification of user-defined names, including nicknames, group names, or chat room titles that violate platform standards.

11. Transaction Revocation:Nullifying illegal transactions and restoring virtual goods to their pre-transaction state where possible.

12. Forfeiture of Illegal Gains:Confiscating virtual goods, currency, or benefits obtained through unauthorized or illegal transactions.

13. Transaction Restrictions: Temporarily freezing virtual items involved in suspicious activity for inspection. Items may be released after a clear review or permanently confiscated if further violations are confirmed.

14. Asset Freezing:Restricting the use, trading, or gifting of virtual items within your account.

15. Asset Recovery:Reclaiming virtual items or benefits obtained through fraud, system exploits, or other violations.

16. Data Deduction: Deducting experience points (EXP), levels, or other numerical values accumulated through improper means.

17. Legal Recourse: Holding you liable for civil, administrative, or criminal consequences resulting from damages to Yaay or third parties.

18. Other Administrative Actions: Any other measures Yaay deems necessary, including the confiscation of undue benefits or temporary service interruptions.

4.6 Host Remuneration and Invoicing Services

4.6.1 Independent Hosts Independent Hosts who have completed qualification certification on the Yaay Platform earn income through user rewards, performances, and other platform services. Yaay will calculate and issue labor remuneration based on a comprehensive assessment of service quality and the volume of rewards received.

Taxation: All user-generated revenue and rewards are considered pre-tax earnings. Yaay will withhold and remit the necessary taxes to the relevant authorities in accordance with the tax laws of Hong Kong.

4.6.2 Guild-Affiliated Hosts For Hosts who join a third-party Guild (Agency), the Guild is responsible for the direct settlement of the Host锟斤拷s labor remuneration based on their private agreements.

Platform Role: Yaay acts solely as a technical service provider, facilitating the aggregation and deployment of service providers (Hosts) and service seekers (Users).

Service Fees: Yaay charges a platform service fee for providing these technical capabilities. This fee is calculated based on set standards and rules and will be automatically deducted from the order revenues or bounty totals prior to each settlement.

4.6.3 Invoicing Services Yaay provides electronic invoicing (E-Invoices) upon request.

Accuracy: Invoices are generated based on the information provided by the applicant. You are responsible for ensuring all tax and identity information is accurate.

Delivery: Once verified, the corresponding electronic invoice will be issued and sent to the applicant锟斤拷s designated email address.

Article 5 [Child Safety and Protection Policy]

Yaay is strictly committed to protecting minors from all forms of sexual abuse, exploitation, and harmful behavior. We operate in full compliance with all applicable international laws and regional regulations. The safety, dignity, and rights of children are our highest priorities.

5.1 Zero Tolerance for Child Exploitation Yaay prohibited the use of its platform to endanger children. Prohibited predatory behaviors include, but are not limited to:

·Inappropriate Physical Interaction: Depicting or promoting inappropriate physical contact targeted at minors.

·Child Grooming: Attempting to befriend a child online to facilitate sexual contact or the exchange of sexual imagery, whether online or offline.

·Sexualization of Minors: Distributing or encouraging imagery that portrays children in a sexualized manner or encourages sexual exploitation.

·Sextortion: Threatening or blackmailing a child using real or alleged access to intimate images.

·Human Trafficking: Soliciting or advertising a child for commercial sexual exploitation or any form of illegal transport.

Action Statement: If Yaay detects Child Sexual Abuse Material (CSAM) or predatory behavior, we will take immediate action, including account termination and mandatory reporting to law enforcement and organizations such as NCMEC. If you believe a child is in imminent danger, please contact your local law enforcement immediately.

5.3 Core Protective Measures

5.3.1 Strict Age Verification: We enforce age-gating during registration. Users under the age of 18 are subject to enhanced privacy settings and restricted access to certain features.

5.3.2 Proactive Content Moderation: We utilize a hybrid review system--combining advanced AI algorithms and 24/7 manual moderation--to detect and remove harmful content instantly.

5.3.3 Behavioral Monitoring: Any sexualized language or inappropriate conduct involving minors is subject to immediate account bans and data preservation for legal authorities.

5.3.4 Rapid Response Mechanism: We provide prioritized reporting tools for child safety concerns. Our safety team is committed to reviewing and acting upon these reports within 24 hours.

5.3.5 Global Cooperation: Yaay partners with child protection NGOs and global law enforcement to ensure all suspected cases are investigated and prosecuted.

5.4 Transparency and Responsibility We believe in accountability. Yaay regularly updates its safety protocols and discloses the effectiveness of our protection initiatives through annual transparency reports.

Article 6 [Intellectual Property Rights]

6.1 Yaay Proprietary Rights Unless otherwise explicitly stated, Yaay or its affiliates hold all legal rights, titles, and interests (including but not limited to copyrights, trademarks, patents, trade secrets, and all other proprietary rights) in the following:

·Platform Assets: All technology, software, programs, code, interfaces, and databases used to provide the Yaay Services.

·Content & Design: All text, images, graphics, photographs, audio, video, charts, color schemes, website layouts, and electronic files displayed on the platform (excluding content for which the User holds a valid legal copyright).

·Trademarks: The Yaay Platform logo, the "Yaay" wordmark, stylized graphics, and any combination thereof, along with all other platform-specific emblems and service names. These are protected trademarks of Yaay in Hong Kong and other jurisdictions.

6.2 Restrictions on Use Users are strictly prohibited from the following actions without prior written authorization from Yaay:

·Unauthorized Exploitation: Copying, distributing, displaying, mirroring, uploading, downloading, modifying, or renting any Yaay intellectual property.

·Trademark Misuse: Displaying or using Yaay锟斤拷s trademarks in any manner, including any use that falsely implies an affiliation, endorsement, or authorization by Yaay.

·Infringement: Reproducing, disseminating, or providing unauthorized viewing services of Yaay锟斤拷s exclusive or licensed content.

6.3 Licensed and Original Content Yaay retains full intellectual property rights over all proprietary and original content, as well as content obtained through exclusive licensing. Any individual or entity found in violation of these rights shall be held liable for all resulting legal consequences, including but not limited to damages, loss of profits, and legal expenses.

Article 7 [Infringement Complaints]

7.1 Right to Notify

In accordance with the laws of Hong Kong, any third party (the "Complainant") who believes that a user has utilized the Yaay Platform to infringe upon their civil rights or intellectual property may submit a formal written notice to Yaay. Upon receipt of a valid notice, Yaay will take necessary measures, including but not limited to deleting, blocking, or disconnecting links to the infringing content.

7.2 Formal Notice Requirements

To process a claim regarding infringing works, performances, or recordings, the Complainant must provide a written notification containing the following:

·Identification: The name, contact information, and physical address of the right holder (or their authorized agent).

·Specific Location: The exact name and network address (URL/Link) of the infringing material to be removed or unlinked.

·Proof of Ownership: Valid and verifiable evidence of the right holder锟斤拷s ownership of the disputed content.

·Liability: A statement confirming that the Complainant is responsible for the authenticity of the notification and accepts all legal liability if the complaint is found to be false or malicious.

7.3 Mandatory Declaration and Documentation

Every infringement complaint must explicitly include:

·Supporting Materials: Original links to the work or certified proof of rights.

·Contact Details: A valid email address and telephone number for timely communication.

·Good Faith Statement: The following declaration: "I hereby state in good faith that I have evidence of the infringement of my legitimate rights and interests. I warrant that all information in this complaint is true and accurate, and I voluntarily assume all legal consequences arising therefrom."

·Signature: The physical or electronic signature of the right holder. If submitted by an agent, a signed Power of Attorney or letter of authorization must be attached.

7.4 Dispute Resolution for Platform Content

To ensure platform stability and avoid unnecessary litigation, the User understands and agrees that any intellectual property disputes involving content generated or hosted on the platform should first be addressed through Yaay锟斤拷s internal dispute resolution mechanisms before pursuing independent legal action.

Article 8 [Default, Liability, and Disclaimers]

8.1 Determination of Breach

You shall be deemed in breach of this Agreement if you:

·Violate applicable laws and regulations while utilizing Yaay Platform Services.

·Violate any provision of this Agreement or its Supplemental Agreements (as defined in Article 2.2).

To maintain platform efficiency and quality, Yaay may establish specific standards for determining a breach. You acknowledge that Yaay may use data analysis (e.g., comparing your account activity against platform-wide data patterns) to identify anomalies. If your account exhibits such anomalies, you are obliged to provide a reasonable explanation and supporting evidence; failing to do so will result in a formal recognition of breach.

8.2 Remedial Measures and Enforcement

If your content or conduct constitutes a breach, Yaay reserves the right to take the following actions based on Platform Rules:

·Content Action: Deleting or blocking infringing information.

·Account Restriction: Suspending or terminating account access, restricting participation in activities, or seizing the virtual live room.

·Asset Handling: Freezing or emptying virtual gifts and assets, or withholding liquidated damages from your balance.

·Fundamental Breach: For severe violations, Yaay may permanently seize the account, resulting in the immediate termination of all virtual product services and the forfeiture of all associated assets.

Regulatory Compliance and Blacklisting: Yaay may report illegal conduct and user records to the relevant authorities. We reserve the right to publicize enforcement actions taken against you on the platform. Furthermore, in compliance with national credit management regulations, Yaay may place you on a Blacklist, which may prohibit you from re-registering and affect your credit-linked services across affiliated platforms.

8.3 Indemnification and Liability

You shall indemnify Yaay and its affiliates for all losses resulting from your breach, including:

·Direct & Indirect Losses: Economic damages, loss of goodwill, and operational costs.

·Legal Expenses: Compensation, settlement amounts, attorney锟斤拷s fees, and litigation costs.

·Third-Party Claims: If Yaay or its affiliates are forced to pay a third party due to your actions, Yaay reserves the right to recover the full amount of those damages from you.

8.4 Service Limitations and Disclaimers (Force Majeure)

Yaay provides services on an "as is" and "as available" basis. While we strive to maintain platform stability, Yaay shall not be liable for service interruptions or damages caused by:

·Network equipment or system failures, hacking, or computer viruses.

·Power outages, strikes, riots, or civil commotions.

·Natural disasters (fires, floods, storms, explosions), wars, or government actions.

·Orders from judicial or administrative authorities or any other third-party causes.

Geographic Limitation: Yaay operates from facilities in Hong Kong. We make no warranty that the services are appropriate for use in other jurisdictions. Users accessing Yaay from outside Hong Kong do so at their own risk and are solely responsible for compliance with their local laws.

Article 9 [Amendments to the Agreement]

9.1 Right to Modify

To reflect changes in applicable laws and regulations or the evolving nature of platform services, Yaay reserves the right to modify this Agreement and any Supplemental Agreements from time to time. Any such updates (the "Amendments") will be communicated to you through the official channels specified in Article 10.

9.2 Effectiveness and Acceptance

Upon publication, the updated terms shall immediately supersede the original version of this Agreement.

·Refusal: If you do not agree with the Amendments, you must immediately cease using all Yaay Platform Services on or before the effective date of the update.

·Deemed Acceptance: Your continued use of the Yaay Platform Services following the effective date of the Amendments constitutes your irrevocable agreement to be bound by the updated terms and conditions.

Article 10 [Notices and Service of Process]

10.1 Methods of Service

You agree that Yaay may deliver notices, agreements, and other communications to you through any of the following reasonable methods:

·Platform Announcements: Publicly posted notices on the Yaay official website or platform.

·Digital Push: In-app messages, system notifications, pop-up alerts, and client-side push messages.

·Direct Contact: Emails, SMS (text messages), or physical mail sent to the contact details provided in your account profile.

10.2 Deemed Delivery

·Electronic Notices: Notices sent via digital means (Email, SMS, In-app push) are deemed served immediately upon successful transmission by Yaay's systems.

·Physical Mail: Written notices sent via postal services are deemed served on the fifth (5th) calendar day after being postmarked.

10.3 Judicial Service of Process

For any legal disputes arising from your use of the Yaay Platform, you expressly agree that judicial authorities (including courts and arbitration bodies) may serve legal documents and litigation papers (e.g., summonses, complaints, judgments) via:

·Modern Communication: SMS or email addresses linked to your registered account.

·Postal Service: The mailing address provided in your account settings.

·Service of process by judicial authorities shall be deemed effective upon transmission (for electronic methods) or according to standard court rules for post. If multiple methods are used, the date of service shall be determined by the first successful delivery.

10.4 Scope and Validity

This agreement regarding service of process applies to all stages of legal proceedings, including but not limited to the first instance, second instance, retrial, enforcement, and supervisory proceedings.

10.5 Duty to Maintain Accurate Information

You are solely responsible for ensuring that your contact information is accurate, complete, and updated in real time. If legal documents cannot be served or are delayed due to inaccurate information or failure to notify Yaay of changes, you shall bear all resulting legal consequences, and the service shall still be considered legally valid.

Article 11 [Termination of the Agreement and Services]

11.1 Voluntary Termination by User

You may terminate this Agreement at any time through the following methods:

·Account Cancellation: Completing the official account cancellation process via the Yaay website or app, provided all "cleanup conditions" (e.g., zero balance, no pending disputes) are met.

·Rejection of Amendments: Expressly refusing to accept updated terms and ceasing all use of Yaay Services before the effective date of the amendments.

·Cessation of Use: Formally notifying Yaay of your intent to stop using the platform and meeting all platform-specific termination requirements.

11.2 Involuntary Termination by Yaay 

Yaay reserves the right to suspend or terminate this Agreement and your access to services via notice (as per Article 10) under the following circumstances:

·Breach of Contract: Any violation of the terms of this Agreement or Supplemental Agreements.

·Account Misconduct: Unauthorized account transfer, misappropriation of other users' accounts, or providing fraudulent registration information.

·Illegal Activity: Engaging in fraud, illicit profiteering, or publishing prohibited content as defined in Article 4.

·Repeat Violations: Continuous or serious infractions of Platform Rules that lead to a mandatory account ban.

·Legal Infringement: Actions that infringe upon the legitimate rights of others or constitute a serious violation of applicable laws.

·Regulatory Compliance: Any other circumstances where Yaay is required to terminate services by law or government order.

11.3 Post-Termination Handling

Upon the termination of this Agreement:

·Information Disclosure: Unless explicitly required by law, Yaay is under no obligation to disclose or provide your account data to you or any third party.

·Data Retention: Yaay will cease the collection and active use of your personal information; however, Yaay may continue to store your historical data and content on its servers for legal compliance and audit purposes.

·Ongoing Liability: Termination does not exempt you from liability for any breach of contract that occurred during the term of the Agreement. Yaay reserves the right to pursue legal recourse for past violations.

·Asset Forfeiture: All virtual goods, credits, and memberships remaining in the account at the time of termination will be forfeited and cleared without compensation.

Article 12 [Governing Law, Jurisdiction, and Miscellaneous]

12.1 Governing Law

The formation, effectiveness, interpretation, amendment, supplementation, termination, enforcement, and dispute resolution of this Agreement shall be governed by the laws of Hong Kong. In the absence of specific legal provisions, common business practices and industry standards shall apply.

12.2 Dispute Resolution

Any dispute arising from or in connection with your use of the Yaay Platform Services shall first be resolved through amicable negotiation between you and Yaay. Should negotiations fail to reach a resolution, either party may submit the dispute to the courts of Hong Kong for litigation.

12.3 Severability

If any provision of this Agreement is held to be invalid, void, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severable and shall not affect the validity, legality, or enforceability of the remaining provisions of this Agreement.
